What is Sura Inc.?
Response: Sura Inc. is a corporation based in the state of California, founded in 2023 by tokenholders, members, and executive management of Interups Inc. and Dhan LLC, along with professionals and industry veterans from various walks of life. The company was initially capitalized with 1,200,000 tokens as equity in favor of these co-founders.
What does the SWAG (Systematic Whiskey Aging & Growth) program entail?
Response: The SWAG program is an innovative mechanism for whiskey appreciation and operation developed by Sura Inc. This program offers investors the opportunity to acquire ownership tokens of whiskey (SURA and BOOZ) representing indivisible units of whiskey. Investors can grant storage and/or trading rights to Sura Inc. and, in return, receive a non-guaranteed annual rate of return plus profit sharing based on the aging of the whiskey or its sale.
How does the acquisition and storage of whiskey by Sura Inc. work?
Response: Sura Inc. purchases barrels of fresh or mature bourbon from Kentucky or other demanded consumption locations, sourced from the United States, Scotland, Ireland, India, Japan, or elsewhere. These barrels are stored for 4 to 6 years or more to become premium whiskey. Subsequently, a decision is made to continue storage or sell it through Sura Inc.'s distribution network and team.
How do SWAG investors benefit?
Response: SWAG investors receive annual returns and share profits based on the aging of the whiskey or its sale in the market. Whiskey increases in value over time, aiding investors in building their capital. Additionally, periodic trading of mature whiskey generates cash flows which, when reinvested along with capital growth, systematically multiply the investors' income and wealth over a defined period, given the expected continued growth of whiskey consumption.
How can investors exit the SWAG program?
Response: Investors can sell their SURA and BOOZ tokens at any time to realize a fair value (minus any brokerage and other transaction execution/settlement fees). This flexibility allows them to exit the program when desired.
What are BOOZ and SURA Tokens?
Response: BOOZ and SURA tokens represent indivisible ownership in whiskey tokens. Each unit holds the same value as any other unit in the offering and is replaceable or exchangeable.
How are BOOZ and SURA Tokens classified from a legal perspective?
Response: BOOZ and SURA Tokens are classified as "Security Tokens" following the Howey Test, subjecting them to U.S. securities laws. This implies that investors are investing in an "investment contract" with a reasonable expectation of profits derived from the efforts of others, in this case, the company and its designated operators related to whiskey storage and trading.
