Response: My Plane Seat Inc. is a corporation based in the State of California, co-founded in 2023 by shareholders, members, and executive management of Interups Inc., Dhan LLC, and other professionals and industry veterans. The company has initiated operations with the initial capitalization of 2,721,600 shares in favor of its co-founders.

Response: The SWIM program is an innovative aviation funding and operating mechanism developed by My Plane Seat Inc. It offers intending investors the opportunity to purchase fractional indivisible ownership in Plane Seats through AERO tokens and extend operational rights to the company for revenue sharing with an Airline Operator.

Response: AERO tokens represent fractional indivisible ownership in 1/1000th Seat of A321 Neo & 1/1000th Seat of A350 900/100 Aircraft, either combined or as specific aircraft-based fractional units, as per the investor's preference.

Response: Investors in the SWIM program gain an annual rate of return based on the miles flown by the planes. Additionally, they earn a share in profits over and above the airline operator’s share and the company’s management fees and operating share. Investors can exit the SWIM program by selling their AERO tokens to realize fair value (minus any brokerage).

Response: AERO tokens represent fractional ownership in plane seats, granting investors a stake in the aviation operations facilitated by My Plane Seat Inc. However, they are not backed by physical assets like the actual planes.

Response: Yes, investors can choose between fractional units representing seats in A321 Neo and A350 900/1000 aircraft based on their investment preference.

Response: Earnings from the SWIM program can be reinvested back into the program or distributed to investors based on the revenue-sharing arrangement and profits generated from aviation operations.

Response: AERO tokens in the SWIM program are classified as "Security Tokens" following the Howey Test, subjecting them to U.S. securities laws. Investors are part of a common enterprise with a reasonable expectation of profits derived from the efforts of My Plane Seat Inc. and the Airline Operator.
